DEED OF SALE

土地を購入する時に、売り手と買い手の間で取り交わす契約書がDEED OF SALE(土地売買契約書)である。通常は弁護士に頼んで作成してもらうことになる。弁護士の手数料が高いので、村長(バランガイ・キャプテン)に頼んで作成してもらう人もいるが、弁護士は、ライセンスの無いものが作成したものは無効だと、主張する。

DEED OF SALEについて、わざわざここで取り挙げた理由は、弁護士の手数料がやたら高いからである。私が頼んだ弁護士の言い分によると、弁護士仲間で値段を取り決めていて、土地の売買価格が10万ペソ以下だと10%。10万ペソを超える場合は、超えた分については5%とのことである。
土地の値段が安い場合はこれでも良いが、例えば、1000万円で土地を買ったとすると、1枚が2枚の契約書に100万円近く払うことになり、日本の常識で考えても高すぎる。ボッタクリ以外の何ものでもない。

私が頼んだ弁護士に、このことを追求すると、「値引きは可能だが、弁護士仲間に、値引きしたことが伝わるといじめられるので、誰かから聞かれたら定価どおり払ったと、答えておいてほしい。」 そう言われた。 弁護士によっては交渉が可能であり、地域によっても、実態に差がありそうである。 値段については複数の弁護士にあたってみた方が良い。

最後に、私が作成してもらったDEED OF SALEをほぼそのまま、掲載しておく。この一部(以下の赤字の部分)を変更して、弁護士にサインだけもらうことにすれば、安く済ませられるかもしれない。

DEED OF ABSOLUTE SALE
(of a portion from a parcel of land)

KNOW ALL MEN BY THESE PRESENTS:

That I, PERPETUA OCSO REMEDIO, Filipino, of legal age, widow, with residence and postal address at Tongo, Siquijor, Siquijor, Philippines, being the heir of the deceased Serapio Ocso, am the absolute owner of the following described parcel of land;

"Parcel of land situated in Tongo, Siquijor, Siquijor, Philippines; covered by Original Certificate of Title No. FP-5468 in the name of Serapio Ocso; known as Lot No. 63, Gss-1309; bounded on the North-East, along line 1-2, by the Mindanao Sea; on the South-East, along line 2-3, by Lot No.64, Gss-1309; and on the South-West, along line 3-4, by Lot No.65, Gss-1309; and on the North-west, along line 4-5, by Lot No.61, Gss-1309, and by Lot No.62 Gss-1309; containing an area of three thousand two hundred and ninety-seven (3,297) square meters."

That for and in consideration of the sum of PHILIPPINE PESOS: THIRTY THOUSAND (Php30,000), to me in hand paid by Taro Yamada, a Japanese national, of legal age, single, with residence and postal address at Pangi, Siquijor, Siquijor, Philippines, receipt of which is hereby acknowledged to my full and complete satisfaction, I hereby SELL, TRANSFER and CONVEY, in a manner that is absolute and irrevocable, unto the said Taro Yamada, his heirs, successors and assingns, free from any lien or encumbrance, the following described portion of the above described parcel of land:

"That portion identified in the Subdivision Plan as Lot.No. 63-A, Gss-1309; beginning at a point marked "1" on plan which is N75-49W, 4736.79m. from B.L.L.M No.1; thence S67-46E, 25.00m. to point 2; N22-54E, 15.00m. to point 3; S67-46E, 25.00m. to point 4; N22-54E, 15.00 meters to point 1, point of beginning; containing an area of three hundred seventy-five (375) square meters."

I further covenant with the same vendee that I own and have the right to sell and transfer the title and ownership of the above-described portion; that I will defend the same against the claims of any and all other persons whatsoever; that the above-described parcel of land is not tenanted as the same is in my absolute possession at the time of this sale, hence no tenancy rights are violated or prejudiced by this conveyance; and that the requirment of notice to the adjoining lot owners and to those who may have had the right of redemption or pre-emption as mandated in Articles 1621 to 1623 of the New Civil Code was complied with.

And that I, Taro Yamada, whose personal circumstances are stated above, hereby accept the foregoing sale in my favor.

Remedio with her Community Tax Certificate No. CCI1999 19712570 issued on January 17, 2002 at Siquijor, Siquijor and Taro Yamada with his Community Tax Certificate No. CCI1999 19714039 issued on February 19, 2002 at Siquijor, Siquijor, both known to me to be the same persons who executed the foregoing Deed of Absolute Sale and they both acknowledged to me that the same is their free and voluntary act and deed.

This instrument consists of two (2) pages including the page upon which this acknowledgement is written and signed by the parties and their witnesses on both pages.

契約書作成に関する注意事項を補足しておく。
